EnfraGen's acquisition financing
Arias, Fábrega & Fábrega acted as local counsel to a syndicate of lenders in connection with the amendment and increase of an existing multi-jurisdictional syndicated secured loan facility to EnfraGen Energía Sur S.A.U. and its affiliates, whose proceeds were used for the acquisition, from Celsia Centroamerica, S.A., of six renewable energy assets in Panama and Costa Rica with a combined maximum capacity of 188MW. The facility was also used for the repayment of the targets’ existing secured indebtedness.
The closing of this multi-jurisdictional financing entailed the simultaneous repayment of a secured bank facility and of publicly traded bonds registered in Panama as well as the amendment of certain collateral documents that secured the existing secured facilities. ARIFA’s role involved extensive coordination with EnfraGen’s counsel, existing lenders, the lenders of the amended facility and the sellers of the six renewable energy assets.
The financing transaction will allow EnfraGen to expand its presence in two of the most important energy markets in Central America.
This transaction won the Latin Finance's 2024 Renewable Energy Financing of the Year Award.
