US$170 million granted to finance the design and construction of Panama's new convention center

Arias, Fábrega & Fábrega acted as transaction counsel to HSBC Bank (Panamá) S.A., now Banistmo S.A., as arranger in a US$170 million Receivables Purchase Facility for a consortium comprising Consorcio HPC-Contrata-P&V S.A.; Hispano Panameña de Construcciones, S.A. (HPC); Constructora P&V, S.A.; Soluciones Arquitectónicas Ingeniería y Construcciones S.A. (SICSA); Quality Construction Services, S.A. y Heliopol, S.A.U. (Panamá); granted to finance the design and construction of Panama's new convention center located in the area of Amador.

Besides HSBC Bank (Panamá), S.A. (now Banistmo S.A.), Goldman Sachs Bank USA, Caja de Ahorros and The Bank of Nova Scotia participated as lenders.

Under the facility, the Consortium will assign on a non-recourse basis all of its payment rights arising from the Project Agreement to build the Amador Convention Center to the lenders.

The Amador Convention Center is the largest-ever infrastructure project undertaken by the Panama Tourism Authority (ATP) and the first and only turn-key contract that the ATP has entered into.
