Arias, Fábrega & Fábrega acted as counsel to the shareholders of Sociedad de Alimentos de Primera, S.A. (SAPRISA) in the sale of 100% of its shares to Colombia's Grupo Casa Luker.

SAPRISA is a leading player in fresh dairy products and fruit based beverages under the umbrella brand "Bonlac".

ARIFA advised the selling shareholders on all legal aspects of the sale. This included a reorganization of the sellers' corporate structure in preparation for this transaction. 

The sale was carried out in an auction process with 22 other participants.
