Grupo UNO acquires majority stake in Primax

Arias, Fábrega & Fábrega advised Uno Corp. Group Inc. (Grupo Uno) in connection with the acquisition finance to acquire a majority stake in Primax, owned by Grupo Romero. Through this transaction, Grupo UNO assumes control of Primax’s operations in Peru and Ecuador, as well as the acquisition of 100% of Primax’s operations in Colombia.

Uno Corp. is the holding company of one of the most significant energy and mobility groups in Central America, with operations spanning the import, storage, transportation, distribution and commercialization of petroleum products and derivatives across multiple jurisdictions. Through its operating subsidiaries, the group manages an extensive regional network of fuel distribution assets, including service stations, convenience retail formats and logistics infrastructure, serving both consumer and industrial markets across Nicaragua, Costa Rica, Honduras, Guatemala, Belice and El Salvador.

This transaction marks a strategic expansion of Grupo UNO’s footprint into South America, significantly strengthening its regional integration and scale.

ARIFA assisted Uno Corp. on all Panamanian law aspects of a complex cross-border acquisition financing governed by New York law, including the structuring, negotiation and execution of guarantees granted by Panamanian entities within the group.

The transaction also involved secured financing arrangements for the Peruvian operations, supported by collateral and guarantees from Panamanian companies, reinforcing ARIFA’s role as trusted counsel in complex, multi-jurisdictional acquisition financing transactions.
