US$180 million cross-border fleet financing secured by Panama-law fleet mortgage structure over 36 vessels

Arias, Fábrega & Fábrega acted as Panamanian counsel to The Hongkong and Shanghai Banking Corporation Limited, Singapore Branch, United Overseas Bank Limited, and DBS Bank Ltd. in a landmark US$180 million cross-border fleet financing extended to Aesen, a Singapore and Malaysia based offshore marine services group operating a diversified fleet across Asia.

The financing is secured by a Panama-law fleet mortgage structure over 36 Panama-flagged vessels, forming a core component of a multi-jurisdictional security architecture spanning several ownership and operating platforms. ARIFA advised on all Panamanian legal aspects of the transaction, including structuring and negotiating the First Preferred Naval Fleet Mortgages, ensuring the seamless alignment of the Panama-law security with the broader cross-border facility framework, and safeguarding the strength and priority of the finance parties’ security interests throughout the transaction.
