Grupo Energía Bogotá merger with subsidiaries to create Enel Colombia
Arias, Fábrega & Fábrega has advised Grupo Energía Bogotá (GEB) in its merger process with subsidiaries Emgesa S.A. ESP, Codensa S.A. ESP, Enel Green Power Colombia S.A.S. ESP, and ESSA2 SpA (subsidiaries in Central America) to form a single company by the name of Enel Colombia S.A. ESP., a company with a strengthened leadership position and presence in four countries: Colombia, Panama, Guatemala, and Costa Rica.
The operation facilitates the corporate restructuring among Enel Américas (57.345%), Grupo Energía de Bogotá (42.515%), and other minority shareholders (0.140%).
It constitutes the materialization of one of the largest asset-based mergers in Colombia.
The new company is expected to generate annual revenue of 2.7 trillion Colombian pesos (US$673 million) by 2025. In its portfolio, Enel Colombia will operate wind, solar and hydroelectric power plants.
