The Government of Panama's acquisition of Transporte Masivo de Panamá, S.A.

Arias, Fábrega & Fábrega acted as counsel to the Government of Panama, in the acquisition of Transporte Masivo de Panamá, S.A. (MiBus), the concessionaire and operator of the mass transportation system in the metropolitan area of Panama City.

ARIFA coordinated and liaised the required corporate and governmental approvals of several institutions in Panama, including the Board of Directors of Metro de Panamá, S.A., the Board of Directors of the ATTT (Autoridad del Transito y Transporte Terrestre), the Budget Committee of the National Assembly, the Cabinet Council and the endorsement by the General Comptroller of the Republic of Panama.

The litigation department joined the interdisciplinary team created by ARIFA, bringing to the table their own views on all possible contingencies that would affect the transaction as the Government of Panama and the sellers also agreed to a settlement of any present or future claims between the parties in relation to the concession for the operation of the mass transportation system in the metropolitan area of Panama City. To this effect, ARIFA conducted searches before the First and Second Circuits of the First Judicial District of Panama including civil, criminal and labor courts, as well as before the First Superior Court and The Supreme Court of Panama.

Transporte Masivo de Panamá, S.A. employs over 4,000 employees and provides the transportation services through a fleet of approximately 1,236 buses which serve more than 500,000 Panamanians per day. With this important acquisition, the Government of Panama advances in its process to strengthen the current mass transit transportation system in order to offer an improved integrated service with the Metro subway system to benefit hundreds of thousands of Panamanians.
