Arias, Fábrega & Fábrega acted as special Panamanian counsel to DNB Bank ASA in connection with:

1. a Term Loan Facility Agreement dated 19 December 2014, by and between Eide Marine Group AS, as borrower, DNB Bank ASA, as lender, mandated lead arranger, bookrunner and underwriter, and DNB Bank ASA as hedge counterparty, pursuant to which the Lender agreed to make available to the Borrower a term loan facility in an aggregate amount equal to NOK 387 million, and
2. a Multicurrency Overdraft Facility Agreement dated 22 December 2014, by and between the Borrower as borrower, and the Lender as lender, whereby the Lender has agreed to make available to the Borrower a multicurrency overdraft facility equivalent to NOK 70 million. 

The Facility Agreement and the Overdraft Facility have been secured by, among other security, a First Naval Fleet Mortgage dated 13 January 2015, granted by Eide Marine Barge AS and Eide Marine Services AS, as mortgagors, over their vessels of Panamanian registry Eide Lift 7, Eide Lift 8 and Eide Barge 33, in favour of DNB Bank ASA as mortgagee,  for the principal amount of NOK 548,400,000.00.
